PivtMedia Client Service Agreement

This agreement outlines the scope of services, fees, revision policy, intellectual property rights, confidentiality, and termination terms between PivtMedia and the Client.

1. Scope of services

PivtMedia provides marketing services as outlined in the attached proposal or SOW. Services outside agreed scope require a written change order.

2. Fees and payment

  • All fees due in full upfront prior to commencement of any work.
  • Accounts more than 7 days past due may have services paused.
  • Full refund if work has not started. No refund once work has begun.

3. Revision and scope policy

  • Each deliverable includes up to 2 rounds of revisions.
  • Revisions must be submitted within 5 business days of receiving a deliverable.
  • Fundamental direction changes are new deliverables, not revisions.
  • Scope changes must be requested in writing.

4. Client responsibilities

  • Provide timely access to accounts, brand assets, credentials, and materials.
  • Designate one primary point of contact authorized to approve content.
  • Delays caused by the Client may shift delivery timelines.

5. Intellectual property

  • Upon receipt of full payment, all final deliverables become property of the Client.
  • PivtMedia retains ownership of all internal tools, templates, and frameworks.

6. Term and termination

  • Either party may terminate with 30 days written notice.
  • No refund is issued upon termination once work has begun.

7–12. Additional terms

  • Confidentiality: All non-public information remains strictly confidential and survives termination.
  • Liability: Total liability shall not exceed fees paid in the preceding 3 months.
  • Governing law: State of Ohio; parties submit to Ohio courts.
  • Privacy: Personal information handled per PivtMedia Privacy Policy at pivtmedia.com.
